Will Haul – Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of the Will Haul websites, applications, and related services (collectively, the "Platform") operated by PKPJ Holdings LLC d/b/a Will Haul ("Will Haul," "we," "our," or "us"). By using Will Haul, you agree to these Terms and our Privacy Policy and SMS Policy. If you do not agree, do not use the Platform.

1. Overview

Will Haul provides an online marketplace connecting individuals or businesses needing items moved ("Customers") with independent drivers offering hauling or delivery services ("Drivers"). Will Haul is not a carrier, common transporter, broker, or insurer. All hauling services are performed by independent Drivers who are not employees, agents, or representatives of Will Haul.

2. Eligibility

To use the Platform, you must:

Drivers must also hold a valid driver's license, proof of insurance, and lawful authorization to operate a motor vehicle. Will Haul reserves the right to verify identity, driver's license, insurance, and other credentials at any time.

3. Marketplace Relationship

Will Haul provides technology and payment facilitation only. We do not supervise or control Drivers and do not guarantee the quality, safety, timeliness, or legality of any hauling service. Customers and Drivers enter into a direct contractual relationship with each other for each haul. Will Haul's role is limited to connecting parties and processing payments.

4. Payments, Fees & Refunds

Payments are processed through third-party providers such as PayPal (and may later include Stripe Connect).

Final Transactions. Once a delivery is completed and confirmed, payments are final. No chargebacks or refunds will be issued except at Will Haul's sole discretion if a clear error or dispute is verified.

Taxes. Drivers are solely responsible for reporting and paying any applicable taxes on income earned through Will Haul.

5. Use of the Platform

You agree to use Will Haul only for lawful purposes. You will not:

Will Haul may suspend or terminate any account that violates these Terms or poses risk to users or the platform.

6. Communications & Photos

Will Haul may send transactional communications by SMS, phone, or email regarding haul requests, driver assignments, and delivery confirmations. Message frequency varies by activity; message and data rates may apply. Reply STOP to opt out.

Photos uploaded for proof of delivery or identification become property of Will Haul and may be used solely for verification, dispute resolution, and quality assurance.

7. Driver Responsibilities

Drivers agree to:

Drivers acknowledge that they are independent contractors and not employees of Will Haul. They are not entitled to workers' compensation, benefits, or reimbursement from Will Haul.

8. Customer Responsibilities

Customers agree to:

Customers acknowledge that hauling and handling carry inherent risks and use the Platform at their own risk.

9. Disputes Between Users

Will Haul may, but is not obligated to, help mediate disputes between Customers and Drivers. Any decision by Will Haul regarding a dispute shall be final. Will Haul is not liable for any damages arising from or related to a haul transaction.

10. Limitation of Liability

To the fullest extent permitted by law:

Drivers are solely responsible for their acts, omissions, and vehicle operations. Customers are responsible for ensuring appropriate insurance coverage for items transported.

You agree to indemnify and hold harmless Will Haul, its owners, officers, and affiliates from any claim, loss, liability, or expense (including attorneys' fees) arising out of:

12. Arbitration & Governing Law

Before starting formal proceedings, you agree to first contact info@willhaul.app to attempt informal resolution. If unresolved within 30 days, any dispute shall be resolved by binding arbitration under the rules of the American Arbitration Association (AAA) in Houston, Texas. Each party shall bear its own costs unless otherwise required by law. You waive the right to participate in a class action.

These Terms and any related disputes are governed by the laws of the State of Texas, without regard to conflict-of-law principles.

13. Termination

Will Haul may suspend or terminate your access at any time, with or without cause. Upon termination, outstanding payment obligations remain due and Sections 9-13 of these Terms shall survive.

14. Changes to These Terms

We may update these Terms periodically. Updates take effect when posted on the Platform. Continued use after changes means you accept the revised Terms.
